Referral Program Terms

[Effective at LD4 launch — date to be set]

General

1.1 These terms and conditions apply to the LMEX Markets Referral Program (the "Program"). By referring a friend or otherwise participating in the Program, the referring User (the "Referrer") agrees to be bound by these terms, the LMEX Markets Terms of Service (the "Terms") and all other related documents incorporated into the Terms, including the Disclaimers, the Risk Warning and the Privacy Policy.

1.2 All terms not otherwise defined herein have the meaning set forth in the Terms.

Program Participation

2.1 To be eligible to participate in the Program, the Referrer must be an existing User and registered account holder on the Interface operated by LMEX Markets.

2.2 The Referrer may refer friends (each a "Referee") to the Interface by sharing their unique referral link, provided in the Referrer's account dashboard upon successful registration.

2.3 The terms governing the eligibility of Users to use the Services set out in the Terms apply to any Referee. Residents of Prohibited Jurisdictions (as defined in the Terms) are not eligible to participate in the Program as Referees.

Eligibility for Referral Rewards

3.1 The Referrer and Referee are eligible for Referral Rewards if the Referee is deemed a Qualified Referee.

3.2 A "Qualified Referee" is a new User who has:

(a) registered for an account on the Interface through the referral link sent to them by the Referrer within seven (7) calendar days of clicking the link;

(b) been accepted as a User on the Interface after completing the KYC Process; and

(c) successfully completed a trade on the Interface with a minimum notional value as set out in the Fee Schedule within thirty (30) calendar days of clicking the referral link (the "Referral").

3.3 Users qualified at VIP Tier 4 or above are not eligible to be Referees under this Program. *[Product decision pending — counsel to confirm.]*

Referral Rewards

4.1 The Referrer and Qualified Referee are entitled to the following Referral Rewards:

(a) Commission Fees

The Referrer receives a proportion of the commissions charged by the Platform on trades conducted by the Qualified Referee.

The Referrer's commission share is calculated as 20% of the commission revenue generated by the Qualified Referee, paid in USDT.

This commission share applies to both:

•Perpetual contract trading commission (the maker / taker percentage fee paid on perpetual trades); and

•Forex per-lot commission (the ECN-style per-side, per-lot commission paid on forex trades).

(b) Discount on Trading Fees

The Qualified Referee is entitled to a 20% discount on trading fees with respect to their own trades conducted on the Interface for a period of thirty (30) days following the Referral.

The discount on trading fees the Qualified Referee is entitled to at any point in time is capped at 20%. *[Product decision pending — counsel and product to confirm whether this stacks with VIP Tier discounts or is mutually exclusive.]*

The Platform reserves the right at its sole discretion to revise the discount amount and discount period from time to time.

(c) Payment of Commission Fees

Payment of Commission Fees is made daily to the Referrer's registered account on the Interface, in USDT, calculated from the USDT-denominated commission revenue generated by the Qualified Referee's trading activity. There is no fiat currency component to the Referral Program.

The Referrer will earn Commission Fees for the duration the Qualified Referee remains an active User on the Interface, subject to clause 4.1(d) below. *[Product decision pending — "lifetime" claim from the parent group is reproduced here. (d) Suspension and Termination of Referral Rewards

If a Qualified Referee is banned from trading for any reason, the Platform will not pay the Referrer any outstanding Commission Fees for revenues generated by the banned Qualified Referee. If a Qualified Referee is being investigated by the Platform, the Platform will withhold payments of outstanding Commission Fees generated from that Qualified Referee until the investigation is complete.

Conduct

In addition to the restrictions agreed to by the Referrer in the Terms, the following activities are expressly prohibited and will be grounds for immediate termination and disqualification from the Program, with potential forfeiture of accrued but unpaid Referral Rewards:

(a) direct or indirect self-referrals;

(b) setting up site redirects from any third-party page so that visitors are silently directed to the Interface;

(c) modifying the referral link in any manner, including modifying it to lead to a website other than the Interface;

(d) spam, bulk distribution, distribution to strangers, or any other promotion that would constitute unsolicited commercial e-mail;

(e) fraud, attempted fraud, or abuse of the Program or these terms;

(f) selling, trading, bartering or providing anything of value to third parties beyond the referral link itself;

(g) any activity designed to circumvent geographic restrictions on the Program or the Services more generally.

Termination

6.1 The Platform reserves the right to terminate the Program at any time, at its sole and absolute discretion. The Platform shall not be liable to provide any Referral Rewards in respect of any Referrals occurring after the termination. The Platform shall continue paying Commission Fees in respect of Referrals occurring before the termination date.

6.2 The Platform may, in its sole and absolute discretion, terminate or suspend any Referrer's participation in the Program for breach of these terms. In connection with such termination, the Platform reserves the right to confiscate any historical Commission Fees paid to the Referrer or to withhold payment of any outstanding Commission Fees.

Force Majeure

The Platform shall not be liable to any Referrer or Qualified Referee for failure to award any Referral Rewards by reason of any acts of God, governmental actions, equipment failure, terrorist attacks, blackout, earthquake, war, severe weather, explosion, labour shortage, transportation interruption, work slowdown, civil disturbance, or any other similar cause beyond the Platform's control.

Indemnification

The Referrer agrees to indemnify, defend and hold the Platform and its representatives and agents harmless from any third-party claims, demands, liabilities, costs or expenses arising from or relating to any breach by the Referrer of these terms or any violation by the Referrer of Applicable Laws.

Tax

Referral Rewards may be taxable in the Referrer's jurisdiction. The Referrer is solely responsible for reporting and paying any Tax due on Referral Rewards received under this Program. The Platform does not provide tax advice in respect of the Program.

Disclaimers

The Platform makes no express or implied warranties or representations with respect to the Program, the Referral Rewards or the Commission Fees payment arrangements (including, without limitation, their functionality, warranties of fitness, merchantability, legality, non-infringement, or any implied warranties).

Independent Investigation

The Referrer acknowledges that they have read these terms and agree to abide by them in their entirety. The Referrer has independently evaluated the desirability of participating in this Program and is not relying on any representation, guarantee or statement other than as set out in these terms.
